Terms of Service

1. Acceptance

These Terms constitute a legally binding agreement between you and Agonix (operated from India). If you do not agree, do not use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into a contract under the Indian Contract Act, 1872.

2. Permitted Use

• You must be 18 years or older to use this Service.
• You may use the Service for lawful business automation purposes only.
• You are responsible for all activity under your account and API keys.
• Use of the Service for any purpose that violates Indian law, including the Information Technology Act, 2000, is strictly prohibited.

3. Prohibited Use

• Using agents to generate spam, misinformation, or illegal content.
• Attempting to reverse-engineer, scrape, or abuse the platform API.
• Sharing API keys publicly or using them beyond your authorised scope.
• Reselling access without a written reseller agreement.
• Using the Service to process sensitive personal data as defined under India's Digital Personal Data Protection Act, 2023 (DPDP Act) without appropriate consent mechanisms.

4. Service Availability

We target 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible. We are not liable for downtime caused by third-party providers (AI models, cloud infrastructure, payment gateways, etc.).

5. Token Quotas & Billing

Token quotas are per billing period and do not roll over. Once your quota is exhausted, API calls will return a 402 error until you upgrade. All prices are in Indian Rupees (INR) and inclusive of applicable GST at 18%. GST invoices are issued on payment confirmation.

6. Refund Policy

You may request a refund within 7 days of purchase provided token usage is below 80% of your allocated quota. Refunds are pro-rated based on tokens consumed. Refunds are processed via Razorpay and credited to your original payment method within 5–7 business days. To request a refund, use the Refund option in your dashboard or email syntaxcraftershub@gmail.com.

7. Intellectual Property

You retain ownership of content you provide to your agents. We retain ownership of the platform, infrastructure, and software. Your agent configurations may be used in anonymised form to improve the platform. Nothing in these Terms transfers any intellectual property rights to you.

8. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Agonix's total liability for any claim arising from use of the Service shall not exceed the amount paid by you in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

9. Grievance Officer (IT Act, 2000)

In accordance with the Information Technology Act, 2000 and rules thereunder, the name and contact details of the Grievance Officer are: Devesh (Founder), Agonix — syntaxcraftershub@gmail.com. Grievances will be acknowledged within 24 hours and resolved within 15 days.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of India. We encourage resolution of disputes through email before initiating legal proceedings.

11. Termination

We may suspend or terminate accounts that violate these Terms. You may cancel your account at any time by contacting support.
